Terms of Service

These terms are the agreement between you and gRaffRO.dev (—, Romania) for the use of https://app.graffro.dev and the services offered through it. By sending a brief, opening an account or paying for work, you accept them.

1. What we do

We design and build software to order: websites, web applications, integrations, bots and similar work. Every engagement starts with a brief you write on the site. From it we prepare an offer with a scope, a price and a delivery estimate. Nothing is agreed and nothing is charged until you accept that offer.

2. Your account

An account is created when you send a brief. Keep your sign-in details to yourself and tell us at contact@graffro.dev if you think someone else has them. You are responsible for what happens under your account until you do. You must be at least 18, or acting for a company that has authorised you.

3. Offers, scope and changes

An offer describes the work as modules, each with its own price. A module starts when its price is agreed and, where the offer says so, paid. Each module includes a set number of minor and major changes, stated in the offer; changes beyond that, and any work outside the agreed scope, are quoted separately before they begin. You can ask for more work on a finished project at any time; we answer with a new proposal and nothing starts before you accept it.

4. Prices and payment

Prices are in euro and, where gRaffRO.dev is registered for VAT, include VAT at the applicable rate. VAT rules for companies established elsewhere in the European Union and for customers outside it are applied as the law requires and shown on the invoice. An advance, as stated in the offer, is due before work starts. Later amounts are due when a module is delivered, or as the offer sets out. You can pay by card, PayPal or bank transfer through the payments page. An invoice is issued for every payment and is available on the same page.

Amounts unpaid after their due date attract reminders, then a warning, then a final notice. If a payment stays outstanding, we may pause the project and, after notice, suspend it. Work already delivered and paid for is unaffected.

5. Delivery, acceptance and warranty

When a module is finished we tell you and you review it. You may approve it or send it back with what is wrong. A module you do not answer on within the period stated in the offer is treated as accepted. When the whole project is signed off, a bug-fix warranty begins for the period stated in the offer: we fix defects in what we delivered at no charge. The warranty covers defects, not new features, content, third-party services or changes to your requirements. Work added to a finished project is delivered under the same sign-off and does not restart the warranty.

6. Maintenance packages

After the warranty you may buy a maintenance package for a fixed monthly price, paid up front for the period you choose. A package covers bug fixes on the whole project and a monthly allowance of hours for small changes, counted per calendar month and not carried over. Work beyond the allowance is quoted as a module. A package starts when its payment clears and ends on the date shown on your project; packages are not refunded for unused months except where the law requires it.

7. Intellectual property

You keep the rights to everything you give us: your brand, your content, your data. On full payment for a module, you receive the rights to the deliverables of that module, except for our pre-existing tools, libraries and know-how, which you may use as part of the deliverables but not resell on their own, and for open-source components, which keep their own licences. Until payment, deliverables remain ours. With your consent, given separately on the review form, we may show your project and quote your words on our site; you can withdraw that consent at any time from your account.

8. Your material and conduct

You confirm that the material you give us does not infringe anyone's rights and that the software we build for you will not be used for anything unlawful. We may decline or stop work that would break the law or cause harm to others; we tell you why.

9. Liability

We build with care and to the agreed scope, but software is never free of defects. Our total liability to you for a project is limited to the amount you paid us for that project. We are not liable for indirect losses, lost profit or lost data beyond what the law does not allow us to exclude. Nothing here limits liability for fraud, wilful misconduct or where the law forbids it.

10. Ending the agreement

You may stop a project at any time by telling us in writing. Work done up to then is invoiced and the advance is applied to it; any balance either way is settled. We may end the agreement if an invoice remains unpaid after a final notice, if you breach these terms, or if continuing would be unlawful. You may close your account from your profile; we keep what the law requires us to keep, as the Privacy Policy explains.

11. Changes to these terms

We may update these terms. The date at the top shows the current version. Changes apply to work agreed after they are published; work already agreed keeps the terms in force when it was agreed.

12. Law and disputes

These terms are governed by Romanian law. We would rather talk first: write to contact@graffro.dev. If we cannot agree, disputes go to the competent courts of Romania. Consumers keep the protections of the law of the country where they live and may use the European online dispute resolution platform.
